Terms & Condition

1.Parties

✅ Research Analyst (hereinafter "RA," "We," "Our," or "Us") Registered with the Securities and Exchange Board of India (SEBI) under Registration No INH000013545, Registration Date: Jan 28, 2021 – Perpetual & BSE Enlistment No: 5426, Dated- July 25,2024 Subject to all rules and regulations framed by SEBI, including the SEBI (Research Analysts) Regulations, 2014, as amended.
✅ Client or User ("You," "Your," or "Client") The individual or entity subscribing to or availing research services. Must meet the eligibility requirements set forth herein and under Indian law.

1.1 Purpose

These Terms & Conditions ("T&C") govern the Client's use or subscription of Our research services ("Services"), including any digital platforms, mobile/web applications, or technology solutions that We or our service provider(s) operate.

1.2 Availing the research services

By accepting delivery of the research service, the client confirms that he/she/it has elected to subscribe to the research service of the RA (Bhupesh Sharma – SEBI Registration No- INH000013545) at his/her/its sole discretion. RA confirms that research services shall be rendered in accordance with the applicable provisions of the RA Regulations.

2. Obligations on RA

RA and client shall be bound by SEBI Act and all the applicable rules and regulations of SEBI, including the RA Regulations and relevant notifications of Government, as may be in force, from time to time.

3. Client Information and KYC

The client shall furnish all such details in full as may be required by the RA in its standard form with supporting details, if required, as may be made mandatory by SEBI from time to time. RA shall collect, store, upload and check KYC records of the clients with KYC Registration Agency (KRA) as specified by SEBI from time to time.

3.1 Eligibility

Only individuals aged 18 years or older (and otherwise competent to contract) or legally incorporated entities may register. If you are a minor or otherwise incapacitated to contract, you are not permitted to use or subscribe to the Services.RA shall collect, store, upload and check KYC records of the clients with KYC Registration Agency (KRA) as specified by SEBI from time to time.

3.2 Registration Process

To access Our paid Services, Clients must complete the registration form, provide all mandatory details, and accept these T&C. The RA reserves the right to reject or cancel registration if the information is incorrect or if the Client is ineligible under law.

3.3 Security of Credentials

Keep login information (username, password, etc.) confidential. You are liable for unauthorized use of your account due to negligence or sharing of credentials. Notify Us immediately if you suspect any breach.

3.4 Use of Services

You shall not reproduce, distribute, copy, sell, or exploit Our research content without express written consent from the RA. Any unauthorized use is grounds for termination of Services and may lead to legal action.

Standard Terms of Service

The Client or Subscriber undertakes the Following:

✅I / We have read and understood the terms and conditions applicable to research analyst as defined under regulation 2(u) of the SEBI (Research Analyst) Regulations, 2014, including the fee structure.
✅ I/We are subscribing to the research services for our own benefits and consumption, and any reliance placed on the research report provided by research analyst shall be as per our own judgement and assessment of the conclusions contained in the research report.
✅ I/We understand that – Any investment made based on the recommendations in the research report are subject to market risk. Recommendations in the research report do not provide any assurance of returns. There is no recourse to claim any losses incurred on the investments made based on the recommendations in the research report.

4. Consideration and mode of payment

The client (Me) shall duly pay to RA (Bhupesh Sharma), the agreed fees for the services that RA renders to the client (Me) and statutory charges, as applicable. Such fees and statutory charges shall be payable through the specified manner and mode(s)/mechanism(s) communicated by the Research Analyst through his brand website www.bhupeshsharma.in (including but not limited to payment gateways or processors like Razorpay, UPI, NEFT, IMPS, Cheque, etc.)

4.1 Maximum Fee for Individual/HUF Clients

✅Per Regulation 15A of the RA Regulations and the Circular, we may charge fees up to INR 1,51,000 (Rupees One Lakh Fifty-One Thousand) per annum per "family of client" (for individual and HUF clients).
✅This amount excludes any statutory taxes and charges.
✅We may revise fees in line with the Cost Inflation Index or as specified by SEBI/RAASB every three years.

4.2 Fees for Non-Individual or Accredited Investors

✅For corporates, institutions, or accredited investors, fees may be negotiated bilaterally without the above limit, subject to fairness and reasonableness.

4.3 Billing & Mode of Payment

✅Fees may be charged quarterly in advance or in another mutually agreed schedule, subject to the one-quarter advance limit mandated by SEBI.
✅Optional Centralised Fee Collection Mechanism: RA shall provide guidance to their clients on an optional 'Centralised Fee Collection Mechanism for IA and RA' (CeFCoM) available to them for payment of fees to RA.

5.Termination of service and refund of fees

Discloses that the RA may suspend or terminate rendering of research services to client on account of suspension/ cancellation of registration of RA by SEBI and shall refund the residual amount to the client.

✅In case of suspension of certificate of registration of the RA for more than 60 (sixty) days or cancellation of the RA registration, RA shall refund the fees, on a pro rata basis for the period from the effective date of cancellation/ suspension to end of the subscription period.
✅However, Statutory charges or any such charges will not be refunded.

6. Risk Factors

✅Before you start investing in securities market, you need to understand and identify your investment goals, objectives and risk appetite (the extent up to which you are willing to take risk).
✅Investments in securities markets are inherently risky and subject to market dynamics.
✅Registration granted by SEBI, and certification from NISM in no way guarantee the performance of the intermediary or provide any assurance of returns to clients.

7. Conflict of interest

✅RA (Bhupesh Sharma) shall adhere to the applicable regulations/circulars/directions specified by SEBI from time to time in relation to disclosure and mitigation of any actual or potential conflict of interest. Full disclosures are provided in each research report.
✅I submit that no material disciplinary action has been taken on me by any Regulatory Authority impacting Equity Research Analysis activities. Disclosure Answers to the Best of my knowledge and belief that I, Bhupesh Sharma / my Associates / my Family: Do not have any financial interest / any actual / beneficial ownership in the subject company. Don’t have any other material conflict of interest at the time of publication of the research report · Have not received any compensation from the subject company not managed or co-managed public offering of securities for the subject company. Have not received any compensation for brokerage services or any products / services or any compensation or other benefits from the subject company, nor engaged in market making activity for the subject company · Have not served as an officer, director or employee of the subject company.

8.Declaration of the RA (Bhupesh Sharma)

✅I am duly registered with SEBI as an RA pursuant to the SEBI (Research Analysts) Regulations, 2014 and the registration details are: (SEBI Registration number: INH000013545), Registration Date: Jan 28, 2021 – Perpetual & BSE Enlistment No: 5426, Dated- July 25, 2024.
✅I have registration and qualifications required to render the services contemplated under the RA Regulations, and the same are valid and subsisting;
✅Research analyst services provided by me do not conflict with or violate any provision of law, rule or regulation, contract, or other instrument to which it is a party or to which any of its property is or may be subject;
✅The maximum fee that may be charged by RA is ₹1.51 lacs per annum per family of client.
✅The recommendations provided by RA do not provide any assurance of returns.

Additionally, if RA is an individual, declaration that:

✅It is not engaged in any additional professional or business activities, on a wholetime basis or in an executive capacity, which interfere with/influence or have the potential to interfere with/influence the independence of research report and/or recommendations contained therein.
✅Any additional voluntary clauses in this Agreement must not conflict with SEBI regulations/circulars.
✅Any changes to such voluntary clauses shall be preceded by 15 days’ notice.

9. Grievance redressal and dispute resolution

✅Any grievance related to (i) non-receipt of research report or (ii) missing pages or inability to download the entire report, shall be escalated promptly by the client to us. 10. Use of Research Report

✅All research reports and related information are confidential and intended solely for the subscriber. Unauthorized distribution, reproduction, or use of these materials is strictly prohibited. Clients must independently assess all recommendations, and the Research Analyst assumes no responsibility for any losses incurred. This report is not for public distribution or use by any person or entity, where such distribution, publication, availability, or use would be contrary to law, regulation, or subject to any registration or licensing requirement. We will not treat recipients as a customer by virtue of their receiving this report.

12. Most Important Terms and Conditions (MITC)

✅The terms and conditions and the consent thereon are for the research services provided by the RA and RA cannot execute or carry out any trade (purchase/sell transaction) on behalf of the client. Thus, you are advised not to permit the Research Analyst to execute any trade on their behalf.

13. Most Important Terms & conditions

We shall also disclose MITC (as standardized by the Industry Standards Forum, in consultation with SEBI/RAASB). By subscribing to or otherwise using Our research Services, You confirm that You do so at Your sole discretion. Our Services are rendered in accordance with the applicable SEBI (Research Analysts) Regulations, 2014.

✅The MITC explicitly informs Clients that the RA cannot execute trades on behalf of Clients.
✅ Investments in the securities market are subject to market risks. Read all the related documents carefully before investing.
✅ Registration granted by SEBI, membership of a SEBI-recognized supervisory body (if any) and certification from NISM in no way guarantee the performance of the intermediary or provide any assurance of returns to investors.
✅ The Fees paid are refundable of the residual amount in the event (unless the registration is suspended or cancelled by SEBI as per clause 8) or the RA has suspended the services
✅ Recommendations provided may not always result in profits as markets are full of risk. As per SEBI Report 89 out of 100 Options traders are in Loss.
✅ Investing in equity and related instruments involves uncertainties, including company-specific and market-related risks. We do not assure guaranteed returns as the value of assets may fluctuate based on market forces like de-listing of securities or market closures etc.
✅ Past performance does not ensure future performance. Notwithstanding all the efforts to do the research, clients should understand that investing in equities involves a risk of loss of both income and principal. Please ensure that you fully understand the risks involved in investing in equities.
✅ By giving consent (online/offline) to these T&C, You acknowledge and accept the RA's fee structure and disclaimers
✅ You confirm that any reliance on research recommendations is at Your own risk and that market risks apply.
✅ We shall not render any research services until the Client's consent is received and initial fees are paid (as applicable).
✅ There is a possibility of communication failures via electronic means such as E-mail/WhatsApp messages/ telegram, which may be beyond our control.

14. Indemnification

You agree to indemnify and hold harmless the RA, its officers, employees, and affiliates from any and all claims, damages, losses, or liabilities arising out of:

✅Your breach of these T&C or violation of law.
✅ Unauthorized or improper use of Your account.
✅ Third-party claims related to Your actions or inactions.

15. Termination

We may terminate this Agreement immediately upon:

✅Violation of T&C by You.
✅ Directions from SEBI or any competent regulatory authority.
✅ Non-payment of fees.

Refunds (if any) shall be governed by Section 6.4 above.

16. Amendments

We may modify or update these T&C in accordance with SEBI regulations. Notice of material changes will be posted on Our website/app or emailed to You. Continued use of the Services indicates Your acceptance of updated T&C.

17. Severability

If any provision is held invalid by a competent authority, the remaining provisions shall continue in effect.

18. Governing Law & Jurisdiction

These T&C shall be governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts/tribunals inBikaner/Rajasthan or as directed by SEBI.

19. No Agency

Nothing in these T&C shall be deemed to constitute a partnership, agency, or joint venture between the RA and the Client.
